TERMS AND CONDITIONS OF ACCESS TO THE QUARTAL SHARE MONITOR SERVICE

Definitions

Data means certain data and other information made available to you via the Service for information purposes only.

Fides content. Fides content is the intellectual property of Fides Limited. Any copying, republication or redistribution of Fides content, including by caching, framing or similar means, is expressly prohibited without the prior written consent of Fides. Fides shall not be liable for any errors or delays in content, or for any actions taken in reliance thereon. Service means the Share Monitor Service, a service owned and operated by Quartal and made available to you via the internet.

We means Quartal Oy whose registered office is at Eteläesplanadi 22A, 00130 Helsinki and "our" and "ours" and "us" will be construed accordingly.

You means the party or entity accessing the Data and "your" and "yours" will be construed accordingly.

Terms applicable

Your rights to use the Service and the Data are governed by these Terms and Conditions and any other terms which may be brought to your attention by us. By accessing the Service, you acknowledge and accept the following conditions:

Liability, warranties and indemnities

Quotes and other data are provided for information purposes only, and are not intended for trading purposes. You use and rely on the Data at your own risk and you accept all responsibility for your actions during and as a consequence of your use of the Service and the Data.

We offer no warranties as to the veracity, accuracy or completeness of the Data nor any other warranties express or implied of any kind in relation to the Data (including but not limited to warranties as to suitability for your requirements).

We bear no responsibility for the contents of the Data and will not in any circumstances (other than circumstances of negligence by us giving rise to personal injury or death) be liable to you or any other person for any direct damages, expenses, lost revenue or profits, loss of data or any other consequential or indirect loss or damage arising from the use of the Data or from any errors or delays in the quotes or any other data or from any inability to access the Service or to use the Data or from any problems caused by the interaction of the Data or the Service with your computer, operating system, software or data.

We will not be liable for any material accessible via the Service that is produced by or derived from a third party (including but not limited to Fides).

We will have the right to update the Service or to suspend or discontinue the provision of the Service at any time. The Service and the Data do not constitute investment advice or any recommendation by us to buy or sell any thing unless expressly specified.

Restrictions on use of the Data and the Service

All intellectual property rights in the Service and the Data and every part of each, including without limitation, copyright, trade marks, database rights and any other similar protected rights in any country, whether now or in the future, are and will remain the property of us or our subsidiaries or third party suppliers such as Fides .

We grant to you a non-exclusive, royalty-free licence to use the Service and to print, copy, reproduce and store the Data but you may not use the Service or print, copy, reproduce or store any Data other than for your own personal use and you may not for commercial profit display, transmit, publish, distribute, communicate, resell or transfer the Data to any other person without our consent. You must exercise all reasonable precautions to prevent other persons within your control from violating this provision. You will not use, copy, reproduce, display, transmit, publish, distribute, communicate, transfer or display the trade marks of Quartal in any form without our prior written consent.

The rights conferred on you by these Terms and Conditions may be withdrawn if you fail to comply with any of them.

Applicable law

These Terms and Conditions will be governed by Finnish Law and you agree to submit to the jurisdiction of the Finnish Courts if any legal dispute arises in connection with them.
